Welcome to ShocoMall Marketplace! These Terms and Conditions (“Terms”) govern your registration and participation as a vendor on our platform. By registering as a vendor, you agree to be bound by these Terms. Please read them carefully.
1. Eligibility
To register as a vendor, you must:
- Be at least 18 years old.
- Operate a legally recognized business.
- Provide accurate and up-to-date business and contact information.
2. Vendor Responsibilities
As a vendor on ShocoMall Marketplace, you agree to:
- Accurately describe and price your products.
- Fulfill orders in a timely and professional manner.
- Handle returns, exchanges, and customer inquiries promptly.
- Ensure all products comply with local laws and do not infringe on third-party rights.
- Maintain updated inventory and product availability.
3. Prohibited Activities
Vendors may not:
- Sell counterfeit, illegal, or prohibited goods.
- Engage in fraudulent or deceptive practices.
- Spam or misuse customer data.
- Misrepresent their identity or business.
4. Fees and Payments
- ShocoMall may charge listing, transaction, and/or service fees.
- Vendors will be notified of applicable fees prior to activation.
- Payouts will be made on a regular schedule via the provided payment method, subject to successful order completion.
5. Content and Intellectual Property
- Vendors retain ownership of their product content and trademarks.
- By listing products, vendors grant ShocoMall a non-exclusive license to display and promote such content on the platform and affiliated marketing channels.
6. Termination
- Either party may terminate the vendor account with prior notice.
- ShocoMall reserves the right to suspend or remove vendors who violate these Terms or harm the platform’s integrity.
7. Limitation of Liability
ShocoMall is not liable for:
- Vendor errors, product quality, or delivery issues.
- Indirect or consequential damages related to use of the platform.
- Losses resulting from unauthorized access to your account.
8. Changes to Terms
ShocoMall may modify these Terms at any time. Vendors will be notified of significant changes. Continued use of the platform constitutes acceptance of the updated Terms.
9. Governing Law
These Terms are governed by the laws of Aruba. Any disputes will be resolved through binding arbitration or in the courts of [Jurisdiction].
